SALON PARTICIPATION AGREEMENT
By signing this summary and using the CLUBSALON Market, you agree to be bound by all of the terms and conditions of the Salon Participation Agreement, including the "Definitions of Terms", the "General Terms and Conditions Governing Use of the CLUBSALON Market" and each of the CLUBSALON "Policies" as posted there (together, the "Agreements"). Key topics covered in the Salon Participation Agreement can be summarized as follows:
1. Membership Fee - In order for you to participate in the CLUBSALON Market, you will be obligated to pay to CLUBSALON a membership fee monthly in advance in an amount appropriate for the membership level you select.
2. Amendments - In order for CLUBSALON to offer continuous enhancements to the quality of the CLUBSALON Market, CLUBSALON reserves the right to amend or modify the Agreements. The immediate effect of these revisions and your obligation to be bound by them as a result of your continued use of the CLUBSALON Market after posting of the amendments or the modifications on the CLUBSALON Market are made clear.
3. Information - Your Primary Distributor possesses certain identifying information about your participating salon and may have provided CLUBSALON with this identifying information prior to your registration with CLUBSALON. You acknowledge this information as correct or provide it independently when you register. You may decide to provide CLUBSALON with other personal information when you are on-line, including your credit information. You agree that CLUBSALON may use any personal information and transactional information concerning your participating salon in accordance with ClubSalon's "Privacy and Security Policy" as posted on the CLUBSALON Market.
4. Sales to Your Participating Salon - Once your participating salon has agreed to the terms of the Salon Participation Agreement and have available a participating distributor, your participating salon, among other things, may enter the B2B environment of the ClubSalon Market and engage in the purchase and sale of products from your participating distributors. The Salon Participation Agreement discusses your rights and obligations with respect to this B2B Environment of the CLUBSALON Market. In particular, you agree that your participating salon has an off-line relationship with each of the participating distributors that are offering products through the CLUBSALON Market. You agree that CLUBSALON may terminate your right to enter into the B2B Environment if there is no participating distributor that is available to distribute products to the service area where your participating salon is located.
5. Sales to Consumers - Once (i) your participating salon has agreed to terms of this Agreement and has selected a membership level with the B2C Passport Program and (ii) the appropriate manufacturer's approval has been obtained for its products to be sold to consumers through the CLUBSALON Market, you may offer your consumers the opportunity to enter the B2C Environment of the CLUBSALON Market whereby your consumers may engage in the purchase and sale of the manufacturers' products directly from participating distributors. The Salon Participation Agreement discusses your rights and responsibilities with respect to the B2C Environment of the CLUBSALON Market. In particular, you agree to indemnify, defend and hold CLUBSALON and its affiliate companies, employees, officers and directors harmless against any and all actions brought against CLUBSALON by one of your consumers for any matter that does not concern an on- line purchase or your consumers' use of the CLUBSALON Market.
6. Salon Web Site - Under the terms of the Salon Participation Agreement, you may also choose to create your own Salon Web Site. You agree that CLUBSALON owns the Salon Web Site and that you and your salon professionals will license to CLUBSALON any content that is posted on the Salon Web Site for the duration of the membership. You will indemnify CLUBSALON for claims brought against CLUBSALON with respect to such content posted by you or your salon professional and CLUBSALON has the right but not the obligation to monitor and remove any content that is posted on the salon website.
You acknowledge that you must rely on your own examination of the entire Salon Participation Agreement and any documents referenced therein prior to agreeing to the terms thereof.
